Terms of service

Terms of service

Last updated: 26 May 2026 · Version 0.1

Plain-English summary. By signing up for or using Unified Orders, you agree to these terms. We give you access to the platform; you use it sensibly, pay your bill on time, and don’t do anything illegal with it. Either side can end the agreement with reasonable notice. Our liability is limited because we’re a software platform, not a bank.

1. Who these terms are between

These terms form a binding contract between “you” (the individual or legal entity that signs up for an account) and “us” (Unified Orders, an unincorporated trading name operating from the United Kingdom; to be replaced with the incorporated entity once registered).

Where you sign up on behalf of an organisation you confirm that you are authorised to bind that organisation. The organisation will be referred to as “the customer” in these terms.

2. The service

We provide a software-as-a-service platform (“Unified Orders” or “the service”) that helps online sellers manage orders, inventory, listings, buyer messaging, and warehouse operations across multiple sales channels.

The exact features available to you depend on your subscription plan. We may add, remove, or change features over time. We will give you reasonable notice of changes that materially reduce functionality on your plan.

3. Your account

  • You are responsible for keeping your account credentials secure and for everything that happens under your account.
  • You must be at least 18 years old.
  • You will provide accurate, current information when you sign up and keep it up to date.
  • You will tell us promptly if you suspect unauthorised access to your account.

4. Acceptable use

Your use of the service is also governed by our Acceptable Use Policy, which is incorporated by reference. In summary: don’t use the service for anything unlawful, abusive, or that would harm the platform or other users.

5. Connected channels and credentials

To deliver the service we need to connect to sales channels (Amazon, eBay, Shopify and others) on your behalf using credentials or OAuth tokens you provide. You authorise us to:

  • Connect to the channels you nominate, on your behalf, in your name.
  • Read order, listing, inventory, and message data from those channels.
  • Write order updates, listing changes, inventory levels, and replies back to those channels.
  • Store the credentials encrypted at rest using AES-256-GCM until you revoke them.

You remain responsible for complying with each channel’s terms of service. If a channel suspends or restricts your account because of your use of the service, that is between you and the channel.

6. Payment

  • If your plan is paid, fees are charged in advance for the subscription period (typically monthly or annually) and based on usage where applicable (e.g. picks, storage).
  • Unless stated otherwise, prices are in GBP and exclude applicable VAT.
  • If a payment fails we may suspend the account after reasonable notice. We will give you the chance to update your payment details before suspension.
  • Refunds are governed by our Refund & cancellation policy.

7. Data & privacy

Personal data is handled in accordance with our privacy policy. Where we process buyer data on your behalf, our Data Processing Agreement applies. We use the sub-processors listed at /sub-processors.

8. Your content

You retain all rights in the data and content you upload to, or generate using, the service (your “Customer Content”). You grant us a non-exclusive, worldwide, royalty-free licence to host, copy, transmit, modify, display, and process Customer Content for the sole purpose of providing the service to you.

9. Service availability

We aim to keep the service running 24/7 but do not guarantee uninterrupted availability. We will perform scheduled maintenance when possible and give reasonable advance notice for foreseeable interruptions.

The service depends on third-party systems (sales channels, hosts, networks) outside our control. We are not responsible for downtime, errors, or data corruption caused by those third-party systems.

10. Suspension and termination

10.1 By you

You may cancel your account at any time from within the platform or by emailing hello@unifiedorders.com. Cancellation takes effect at the end of your current paid period — we do not refund the unused portion except where required by law.

10.2 By us

We may suspend or terminate your account if you:

  • Materially breach these terms or the acceptable use policy.
  • Fail to pay an invoice within 30 days of its due date after reasonable reminder.
  • Use the service in a way that creates legal risk for us or other users.

We will normally give you notice and an opportunity to fix the issue before terminating, except in cases of serious abuse or where immediate action is required by law.

10.3 Effect of termination

On termination, your access to the service ends. You may request an export of your Customer Content within 30 days of termination, after which we will delete or anonymise it (subject to legal retention requirements as set out in the privacy policy).

11. Intellectual property

The service, including all software, designs, trademarks, and documentation, is owned by us or our licensors. Nothing in these terms transfers ownership of any of that to you. You may not copy, modify, reverse-engineer, or create derivative works of the service except as expressly permitted by law.

12. Warranties & disclaimers

The service is provided “as is” and “as available”. To the maximum extent permitted by law we disclaim all implied warranties including merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the service will be uninterrupted, error-free, or that it will meet your specific requirements.

13. Limitation of liability

Nothing in these terms limits liability that cannot be limited by law (including liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation).

Subject to the above, our total aggregate liability to you under or in connection with the service (whether in contract, tort, or otherwise) in any twelve-month period is limited to the greater of: (a) the fees you paid us in the twelve months immediately preceding the event giving rise to the claim, and (b) £100.

We are not liable for any indirect, consequential, special, or punitive losses, loss of profits, loss of revenue, loss of goodwill, or loss of data (other than the value of restoring backups).

14. Indemnity

You will indemnify us against third-party claims arising from: (a) your Customer Content, (b) your use of the service in breach of these terms or any law, or (c) your breach of any sales channel’s terms of service.

15. Changes to these terms

We may update these terms from time to time. We will notify paying customers of material changes by email at least 30 days before they take effect. Continued use of the service after the effective date constitutes acceptance.

16. Governing law and jurisdiction

These terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction over any dispute arising from these terms, except where you are a consumer entitled by law to bring proceedings in your local courts.

17. Miscellaneous

  • If any provision of these terms is found unenforceable, the rest will remain in effect.
  • Our failure to enforce a right is not a waiver of that right.
  • You may not assign these terms without our prior written consent. We may assign them to a successor entity in connection with a merger, acquisition, or sale of the business.
  • Notices to us should be sent to hello@unifiedorders.com. Notices to you will be sent to the email on your account.
